The Role
Reporting to the VP, Legal & General Counsel, this position provides commercially focused legal advice and services to all corporate and support functions across the Gibson Energy group. The role partners closely with internal stakeholders to support commercial transactions and day-to-day business operations through the practical identification, management, and mitigation of legal and commercial risk, while ensuring compliance with applicable legal and regulatory requirements. The position manages routine through complex legal matters and serves as a trusted advisor to the business on a broad range of legal issues. The role also acts as Assistant Corporate Secretary, supporting the Secretary and the Board of Directors on corporate governance and public company matters.
What You'll Be Doing
- Provides practical, commercially oriented legal advice to the leadership team and employees across all Gibson Energy entities, with a primary focus on supporting commercial transactions and operational activities.
- Leads the negotiation, drafting, and review of a wide range of commercial and operational agreements, partnering with business units and support functions to structure arrangements that appropriately allocate risk and support business objectives.
- Supports day-to-day business operations by identifying legal, regulatory, and commercial risks and developing solutions that align with Gibson Energy’s risk profile and operational requirements.
- Provides legal support across a broad range of corporate and support functions, including procurement, insurance, labour and employment, environmental, health and safety, regulatory compliance, litigation and dispute management, financings, banking, securities, and strategic transactions such as acquisitions and divestitures.
- Ensures business activities are carried out in compliance with applicable laws, regulations, industry standards, and Gibson Energy policies, while maintaining a practical and business-enabling approach.
- Oversees compliance with legal policies and procedures, and assists with their ongoing maintenance, review, and enhancement to reflect evolving business needs and governance best practices.
- Supports corporate governance and public company obligations, including the preparation of Board of Directors materials, continuous disclosure filings, and other corporate secretarial deliverables, in the role of Assistant Corporate Secretary.
- Manages the coordination and oversight of external legal counsel, ensuring effective, timely, and cost-efficient support aligned with business priorities.
- Provides strategic legal input to senior leadership on material legal and commercial matters impacting the business.
- Performs other duties and provides additional legal support as required to support the mandate of the VP, Legal & General Counsel and the overall success of the business.
What You'll Bring
- Juris Doctor or Bachelor of Laws (JD or LLB) from an accredited law school
- Member in good standing with the Law Society of Alberta or eligible for membership in Alberta
- Approximately 6+ years of legal experience gained in a leading law firm and/or in-house legal department at an organization of comparable size, complexity, and scope to Gibson Energy
- Demonstrated experience supporting commercial transactions and business operations through the negotiation, drafting, and management of legal agreements and risk
- Public company experience, including exposure to securities law, continuous disclosure, and corporate governance matters, is an asset
- Energy industry experience, particularly in the midstream sector, is an asset
- Strong commercial judgment with the ability to assess risk, propose practical solutions, and enable business objectives in a regulated environment
- Excellent communication and relationship-building skills, with the ability to work effectively with executive leadership, the Board of Directors, external counsel, and internal business stakeholders
- Proven ability to work independently and collaboratively in a fast-paced, dynamic environment, managing multiple priorities and competing deadlines
- Strong analytical and problem-solving skills, with a pragmatic, solutions-oriented approach and attention to detail.
